Terms of Service

Welcome to Juno, a product offered by Alypne Labs ("Alypne Labs", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of Juno's website, web application, Chrome extension, and related services (collectively, the "Service"). Please read them carefully.

By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

These Terms replace and supersede any prior versions as of the Effective Date.


1. Definitions

The following definitions apply throughout these Terms:

  • "Service" means the Juno website, web application, Chrome extension, and related services offered by Alypne Labs.
  • "Account" means the user account you create (or is created for you) to access the Service.
  • "Customer Data" means information you or your users submit to the Service, including tasks, messages, files, practice information, and other content.
  • "Output" means the results produced by the Service in response to inputs (including AI generated results and results produced by human assistants).
  • "Human Assistants" means Alypne Labs personnel (or personnel of our authorized contractors) who may access Customer Data for the limited purpose of performing tasks you request, providing support, and operating the Service, subject to confidentiality obligations.
  • "PHI" means "Protected Health Information" as defined under HIPAA.
  • "BAA" means a Business Associate Agreement executed between you and Alypne Labs.
  • "Aggregated Data" means data derived from Customer Data that has been aggregated with other data such that it does not identify you, your users, or any individual.
  • "Anonymized Data" means data derived from Customer Data that has been de-identified such that it does not reasonably identify you, your users, or any individual, taking into account reasonably available means of identification.

2. Eligibility; Account Registration; Security

You must be at least 18 years old to use the Service. You agree to provide accurate information when creating an Account and to keep your Account information up to date.

Account Responsibilities

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your Account. You agree to notify us promptly of any suspected unauthorized use of your Account.


3. License; Permitted Use; Acceptable Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your internal business purposes (or personal purposes if you are not using the Service for an organization).

Acceptable Use

You agree not to (and not to allow others to):

  • Use the Service for any illegal, harmful, or abusive activities;
  • Submit content you do not have the right to submit, or that violates privacy or confidentiality obligations;
  • Use the Service or Output as a substitute for professional judgment, or to make regulated or high-stakes decisions (including clinical or diagnostic decisions) without appropriate human review and verification;
  • Attempt to gain unauthorized access to any part of the Service or its related systems;
  • Interfere with or disrupt the integrity, security, or performance of the Service;
  • Reverse engineer, decompile, or attempt to discover source code or underlying systems except where prohibited by law;
  • Attempt to extract models, training data, or system prompts; conduct prompt harvesting; or otherwise attempt to infer, reconstruct, or replicate underlying model behavior through systematic querying;
  • Scrape the Service, perform bulk export, or use automated means to access the Service in a manner that exceeds reasonable request volume or violates access controls (except where explicitly permitted by the Service);
  • Bypass or attempt to bypass rate limits, access controls, or security features;
  • Use the Service to develop or train competing products where prohibited by applicable law.

4. AI-Powered Tasks; Human Assistance; No Professional Advice

The Service may help you draft, summarize, organize, or automate administrative workflows using AI and, in some cases, human assistants working under confidentiality obligations. Output may be incorrect, incomplete, or not appropriate for your specific situation.

Output may be generated in whole or in part using third-party AI models and services. We do not guarantee that Output will be unique, non-infringing, or suitable for any particular purpose.

You are solely responsible for reviewing, verifying, and approving all Output before using it, including before using it for clinical, billing, legal, financial, or operational decisions.

The Service is not required to provide citations, sources, or attribution for Output, and Output may not include links or supporting evidence.

The Service does not provide medical, legal, financial, or other professional advice. If you need professional advice, consult a qualified professional.


5. Customer Data; Privacy; PHI; BAA

We take data security seriously. Our Privacy Policy describes how we collect, use, and disclose information related to the Service. Please review it here: Privacy Policy. The Privacy Policy is incorporated into these Terms by reference.

Your Customer Data

As between you and Alypne Labs, you retain ownership of Customer Data. You grant Alypne Labs a worldwide, non-exclusive license to host, store, process, transmit, display, and otherwise use Customer Data solely to: (a) provide, maintain, and improve the Service; (b) prevent or address technical or security issues; and (c) comply with applicable law. You represent and warrant that you have all rights necessary to provide Customer Data and grant this license.

Human Review Safeguards

Where Human Assistants review Customer Data, we use access controls and confidentiality obligations designed to limit access to authorized personnel who need it to perform tasks, provide support, and operate the Service.

Service Improvement; Aggregated and Anonymized Data

We may create Aggregated Data and Anonymized Data from Customer Data for analytics, product improvement, and security purposes. We may use and share Aggregated Data and Anonymized Data for these purposes, provided it does not identify you, your users, or any individual.

AI Training

We may use Customer Data to improve the Service, including improving features that rely on AI, but we do so in a way designed to avoid using PHI without a signed BAA. Unless you opt out as described below, we may use Anonymized Data (and/or Aggregated Data) derived from Customer Data to improve our models and systems.

Opt-out: You may opt out of the use of your Customer Data for model or system improvement by contacting us at info@alpynelabs.com. Opting out may limit certain features or improvements but will not prevent us from using Customer Data to provide and secure the Service.

Post-Termination Data Handling

After termination of your Account, we may retain Customer Data for a limited period as needed to comply with law, resolve disputes, enforce agreements, and maintain reasonable backups and security logs. We may delete Customer Data after termination, subject to these needs and our retention practices described in the Privacy Policy.

Security Practices

We maintain reasonable administrative, technical, and organizational safeguards designed to protect Customer Data.

PHI and HIPAA

The Service may be used in contexts involving sensitive information. However, you may not submit PHI to the Service unless and until you have a signed BAA with Alypne Labs. Without a signed BAA, you agree to refrain from submitting PHI.

If we become aware that PHI has been submitted without a signed BAA, we may (in our discretion) delete such data, restrict access to it, suspend your Account, and/or contact you to execute a BAA. You remain responsible for configuring your use of the Service to comply with applicable laws and your professional obligations.


6. Fees; Subscriptions; Billing; Taxes

The Service may be offered through (a) monthly subscriptions for certain services and (b) one-time fees for certain services (for example, initial credentialing work), as presented at purchase, in an order form, or in your plan selection.

  • Billing: Subscription charges are typically billed in advance on a recurring basis. One-time fees are charged when incurred (for example, at sign-up for a one-time credentialing fee).
  • Auto-renewal: If you enroll in a subscription, it renews automatically at the end of each billing period unless you cancel before the renewal date.
  • Cancel anytime: You can cancel subscriptions at any time. If you cancel, you will generally retain access through the end of your current paid billing period.
  • No refunds for subscription fees: Subscription fees are generally non-refundable once charged, except where required by law or explicitly stated otherwise (including any applicable free trial or free cancellation period described at purchase).
  • Plan changes & proration: You may be able to add or remove services. If you change your plan mid-cycle, we may prorate charges so you pay only for the services and time used, consistent with what is presented during checkout or in your account.
  • Trials / free cancellation periods: We may offer a free trial or free cancellation period for certain subscription services (for example, a 30-day free cancellation period). If you cancel during an applicable free period, you will not be charged for that subscription service for that period.
  • Non-refundable one-time fees: One-time fees that cover immediate, labor-intensive work (such as an initial credentialing fee) are generally non-refundable unless required by law or explicitly stated otherwise in writing.
  • Payment methods: Payment methods (for example, credit/debit card or ACH) may vary by plan and will be presented at purchase or invoicing.
  • Taxes: You are responsible for applicable taxes, duties, and similar governmental assessments related to your purchase, except for taxes based on our net income.
  • Changes to Pricing: We may adjust pricing with 30 days' notice, which may be communicated by email or in-product notifications.

7. Intellectual Property

All content, designs, trademarks, and software code are the property of Alypne Labs or its licensors. You may not copy, modify, distribute, or create derivative works from any part of the Service without explicit written permission.

Except for the limited license granted in these Terms, we reserve all rights, title, and interest in and to the Service.


8. Suspension; Termination

We may suspend or terminate your access to the Service (in whole or in part) if we reasonably believe: (a) you violated these Terms; (b) your use of the Service poses a security risk; or (c) suspension is required to comply with law or protect users or the Service. We may also terminate the Service or your Account at any time by providing notice where reasonable.

You may stop using the Service at any time. Upon termination, your right to access and use the Service ends. The provisions that by their nature should survive termination will survive, including provisions relating to Customer Data (and any licenses/limitations applicable to Customer Data, Aggregated Data, and Anonymized Data), intellectual property, disclaimers, limitation of liability, arbitration/class action waiver, indemnification, governing law/venue, and miscellaneous terms.

After termination, we may delete Customer Data in accordance with these Terms and the Privacy Policy, subject to legal, security, and operational retention needs.


9. Disclaimers

The Service is provided "as is" without warranties of any kind. Alypne Labs disclaims all implied warranties, including those of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee uninterrupted or error-free operation of the Service and are not liable for any delays, data loss, or inaccuracies resulting from system limitations, outages, or third-party dependencies.


10. Limitation of Liability

To the fullest extent permitted by law, Alypne Labs will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, goodwill, or other intangible losses, arising out of or related to the Service, even if we have been advised of the possibility of such damages.

To the fullest extent allowed by law, Alypne Labs' total liability for any claims related to the Service is limited to the amount paid by you for the Service during the 12 months preceding the event giving rise to the claim.


11. Arbitration; Class Action Waiver

Except for disputes eligible for small claims court or seeking injunctive relief for misuse of intellectual property, you and Alypne Labs agree to resolve any dispute arising out of or related to these Terms or the Service through binding arbitration rather than in court.

The arbitration will be administered by the American Arbitration Association ("AAA") under its applicable rules, and will be conducted on an individual basis, in English. The seat of arbitration will be King County, Washington, although the parties may agree to conduct the arbitration remotely. You and Alypne Labs waive any right to participate in a class action, class arbitration, or any representative proceeding.

If this arbitration provision is found unenforceable, then the dispute will be resolved in the courts specified in the "Governing Law; Venue" section, and the class action waiver will remain in effect to the fullest extent permitted by law.


12. Indemnification

You agree to indemnify, defend, and hold harmless Alypne Labs and its affiliates, officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your Customer Data; (b) your use of the Service in violation of these Terms; or (c) your violation of any law or the rights of any third party.


13. Export Controls; Sanctions

You may not use, export, re-export, or transfer the Service except as authorized by United States law and the laws of the jurisdiction where you use the Service. You represent that you are not located in a country subject to U.S. government embargo, are not designated on any U.S. government restricted party list, and will not use the Service for any prohibited end use.


14. DMCA / Copyright Complaints

If you believe content in the Service infringes your copyright, please send a notice to info@alpynelabs.com with: (a) identification of the copyrighted work; (b) identification of the allegedly infringing material; (c) your contact information; (d) a statement that you have a good-faith belief the use is not authorized; (e) a statement under penalty of perjury that the information is accurate and you are authorized to act; and (f) a physical or electronic signature.


15. Feedback

If you provide suggestions, ideas, or feedback about the Service, you grant Alypne Labs a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate that feedback without restriction or compensation.


16. Governing Law; Venue

These Terms are governed by and construed in accordance with the laws of the State of Washington, without regard to conflict of law principles. You and Alypne Labs agree that any dispute arising out of or related to these Terms or the Service will be brought exclusively in the state or federal courts located in King County, Washington, and you consent to personal jurisdiction and venue in those courts.


17. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice, such as by email, in-product notification, or by posting an updated effective date. Your continued use of the Service after the effective date of updated Terms constitutes acceptance of the updated Terms.

19. Miscellaneous

  • Entire Agreement: These Terms (together with the Privacy Policy) constitute the entire agreement between you and Alypne Labs regarding the Service.
  • Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.
  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
  • Waiver: Failure to enforce any provision is not a waiver of that provision.
  • Force Majeure: We are not liable for delays or failures caused by events beyond our reasonable control.
